Representative Experience

 

ENERGY, TELECOMMUNICATIONS AND INFRASTRUCTURE PROJECT DEVELOPMENT AND FINANCE

• Represented Duke Capital Corporation in the restructuring of the US$ 1. 25 Billion Non-Recourse, Structured Credit Facilities of a portfolio of seven power generation facilities in the Western United States.

• Represented Duke Energy International Egenor, S.A. in Peru on a US$ 42 Million Non-Recourse, Off-Credit Bridge Term Loan Facility and on a US$ 100 Million Eurodollar Bond Programme in support of six hydroelectric power generation plants and associated infrastructure facilities.

• Represented Duke Energy in Australia in the A$ 900 Million Non-Recourse and Recourse Two Tranche Pipeline Facility in Australia and New Zealand. This project was chosen as Asia’s “Project of the Year” for 2002 by Project Finance International.

• Represented Duke Energy in Australia in the US$ 1.2 billion structuring of a proposed initial public offering of Duke Energy’s Australian and New Zealand operations including all of the equity, quasi-equity, senior and subordinated securities offerings and credit facilities to be issued or granted post-IPO.

• Represented Duke Energy’s Grupo Generador de Guatemala y Cia. , S.A. in the US$ 50 Million Non-Recourse Back-to-Back Credit Facility in Guatemala in support of Duke Energy’s operations in Guatemala.

• Represented Duke Energy Gas Transmission in the US $ 250 Million Non-Recourse financing of the 100 mile expansion of the Gulfstream Natural Gas Pipeline System in the United States.

• Represented the InterAmerican Development Bank in the greenfield development and non-recourse financing of Miravalles III, a geothermal power generation facility in Costa Rica.

• Assisted with the representation of the sponsors in all security interest and collateral aspects in the Jorf Lasfar US $ 1.5 Billion acquisition (privatization) and financing of existing generation facilities and the construction of new facilities in Morocco funded by a consortium of commercial banks, Export-Import Bank of the U.S., Swiss and Italian export credit agencies, the World Bank and OPIC. This project was chosen as “Project of the Year” for 1997 by Project Finance International.

• Represented Con Edison of New York and International Energy Partners, as sponsors, in the greenfield development and non-recourse financing of Generadora del Norte, S. de R. L. (a/k/a Genor, S. de R.L.), the first merchant power generation facility in Guatemala.

• Represented PP&L Group in the proposed privatization, acquisition and financing of the CORELCA electric distribution network in Colombia.

• Represented International Energy Partners in the privatization, acquisition and non-recourse financing of Generadora La Laguna, S.A. in Guatemala.

• Represented Wartsila NSD, as sponsor and equipment supplier, in the restructuring, refinancing and securitization (monetization) of the Blue & White Power Financing Co.’s power generation facility in Guyana, South America.

• Represented FondElec and Convergence Communications, Inc. in the development and non-recourse financing of a fiber optic network in Mexico.

• Represented FondElec and Convergence Communications, Inc. in the development and non-recourse financing of a fiber optic network in Venezuela.

• Assisted with the representation of Bechtel in the proposed restructuring and refinancing of its investments in several energy projects throughout the world through InterGen, a joint venture with Royal Shell.

• Represented Cogentrix in the proposed development and non-recourse financing of a coal-fired power generation facility in Puerto Rico.

• Assisted with the representation of Duke Energy International’s Compania de Servicios de Comprension de Campeche, S. de R. L. in Mexico in the US$ 1 Billion Non-Recourse Greenfield Development Loan Facility for a nitrogen compression facility.

• Assisted in the representation of Duke Energy International’s Compania de Servicios de Extraccion de Cantarell in Mexico in the US$ 1. 2 Billion Non-Recourse Greenfield Development Credit Facility for a nitrogen extraction facility.

• Assisted with the representation of the InterAmerican Development Bank in the proposed development and financing of the Montaro-Socabaya transmission line in Peru.

MERGERS AND ACQUISITIONS

• Represented Duke Capital Corporation in the divestiture by means of an auction sale of Duke Energy’s Australia and New Zealand subsidiaries and operations.

• Represented Duke Capital Corporation in connection with the divestiture of Duke Solutions, an energy services and energy solutions subsidiary.

• Assisted in the representation of Westcoast Corporation in the disposition of several merchant power generation facilities throughout the U.S. and Canada owned by its subsidiary, Westcoast Power, LLC, upon consummation of Duke Energy’s acquisition of Westcoast Corporation.

• Assisted in the representation of Duke Capital Corporation in connection with the divestiture of Duke Engineering & Services, Inc.

• Assisted in the representation of Duke Capital Corporation in the disposition of one of its proprietary energy trading subsidiaries, Engage America, LLC.

• Assisted in the representation of Duke Energy North America in connection with the sale of seven natural gas-fired merchant power generation facilities in the Southern United States to a private equity fund.

• Assisted in the representation of Duke Capital Corporation in connection with the sale of Energy Delivery Services, Inc. to the Shaw Group.

• Assisted Duke Energy International in the proposed disposition of the Compania de Servicios de Cantarell , a nitrogen processing facility in Mexico.

• Represented Con Edison of New York and Energy Partners in the acquisition of a controlling equity interest in a merchant power generation facility in Puerto Barrios, Guatemala.

• Represented NEC Corporation in the acquisition of Packard Bell, a pioneer in the personal computer business.

• Represented Wartsila NSD in the disposition by means of the “monetization” of Blue & White Power Financing Co. in Guyana, South America.

• Represented Fondelec and Convergence Communications in the acquisition of a majority equity interest in Metronet, a fiber optic network developer in Mexico.

• Represented Fondelec and Convergence Communications, Inc. in the acquisition of a fiber optic network in Caracas, Venezuela.

• Represented Banco de Ponce and BanPonce Corporation in its merger with Banco Popular de Puerto Rico, at the time considered to be the largest merger transaction in the history of the Caribbean.

BANKING, FINANCE AND FINANCIAL INSTITUTIONS

• Rendered legal and strategic advice to Big Four consulting firm in the successful structuring, negotiation and syndication of a $300 million Term Loan and $200 Synthetic Letters of Credit Facilities

• Counseled and advised Citibank, N.A., Banco Popular de Puerto Rico, Banco de Ponce, Hamilton Bank, N.A., Banco del Caribe and several other domestic and foreign depository and non-depository financial institutions in connection with federal and state banking laws and regulations including compliance therewith.

• Represented Citibank, N.A. in connection with the structuring, negotiation and documentation of numerous asset-based credit facilities entered into with several borrowers.

• Represented national banking association in the structuring, negotiation and documentation of its entire portfolio of upstream correspondent banking facilities with money-center banks in the U.S. and the United Kingdom.

• Represented a national banking association in the structuring, negotiation and documentation of its entire portfolio of downstream correspondent banking facilities throughout Latin America and the Caribbean, including all of the letters-of-credit and bankers’ acceptances facilities.

• Represented U.S. commercial bank in connection with several coffee and cotton pre- export credit facilities in Latin America.

• Represented federal savings and loan associations with the non-recourse securitization of all of its conditional sales contracts and finance lease agreements.

• Represented Duke Capital Corporation in the structuring, negotiation and documentation of over 500 guarantees, letters-of-credit and other credit support and credit enhancement financial instruments.

• Represented a national bank in the structuring, negotiation and documentation of several loan syndications, participations and inter-creditor agreements with U.S. and Latin America banks and creditors.

VENTURE CAPITAL AND PRIVATE EQUITY

• Represented the New Africa Opportunity Fund, an OPIC sponsored private equity fund, in the restructuring of organizational and corporate governance documents and with its entire portfolio in Africa.

• Represent MMG Ventures, an SBIC, in connection with the structuring, negotiation and documentation of successive rounds of debt, equity and quasi-equity financings, investments and capitalizations of various start-up companies in the U.S.

• Represented sponsor in the formation of the New Africa Infrastructure Fund.

• Represented Bank of America, Coca Cola, the Philadelphia Industrial Development

Corporation, Access Equity Ventures, New Media Ventures, Pharos Venture Capital and Hemisphere Ventures in the formation of venture capital and private equity funds and licensing as SBICs.

JOINT VENTURES AND STRATEGIC ALLIANCES

• Advised and represented a national bank with respect to its equity investments, strategic alliances and joint ventures in Argentina, Guyana, Guatemala, El Salvador, Panama, and Nicaragua.

• Advised and represented international and domestic project developers, U.S. utilities and other institutional investors in the structuring, negotiation and documentation of strategic alliances, joint and partnership ventures entered into in connection with various energy, telecommunications and infrastructure project developments in the U. S., Latin America and the Caribbean.
